These Terms and Conditions govern the use of the website sendhtml.email and related services (including the html2email Chrome extension) operated by SHIFT LLC (the “Company”). By accessing or using the Website or Service, you agree to be bound by these Terms.
General Terms
By accessing and ordering from SHIFT LLC through sendhtml.email you agree to these terms. The Company disclaims liability for damages from using or inability to use site materials. SHIFT LLC reserves the right to modify pricing and usage policies at any time.
Service Description
SHIFT LLC provides online tools and digital utilities made available through sendhtml.email, including the html2email browser extension for creating, editing, and inserting HTML emails in supported webmail clients (e.g. Gmail, Yahoo, Yandex Mail, Mail.ru). Specific features are described on the Website. Some editions may offer optional paid (Pro) subscriptions via Monetize.software on account.sendhtml.email.
License
SHIFT LLC grants you a revocable, non-exclusive, non-transferable, limited license to download, install (if applicable) and use our products strictly in accordance with these Terms.
Agreement Scope
These Terms constitute a contract between you and SHIFT LLC. Violation may result in account cancellation or access blocking without notice.

Copyright Infringement Notice
Copyright owners must provide written notice including signatures, material identification, contact information, and good-faith statements to info@sendhtml.email.
Indemnification
Users agree to indemnify SHIFT LLC and its affiliates from claims arising from Website use, agreement violations, or third-party rights infringement.
No Warranties
The Website and Service are provided “AS IS” and “AS AVAILABLE” without warranties of any kind. The Company does not warrant uninterrupted operation, error-free performance, or compatibility with other systems.
Limitation of Liability
Liability is limited to amounts actually paid for the Website services. SHIFT LLC is not liable for consequential, indirect, or special damages.
Severability
If provisions are unenforceable, they will be modified to accomplish their objectives while remaining provisions continue in effect.

Amendments to Agreement
SHIFT LLC reserves the right to modify these Terms at any time. Material changes require 30 days’ notice before taking effect where required by applicable law.
Entire Agreement
These Terms supersede all prior agreements and constitute the complete understanding between parties.
Intellectual Property
The Website and its entire contents, features and functionality are owned by SHIFT LLC and are protected by Armenia and international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of content you create with the Service (e.g. your HTML templates).
Agreement to Arbitrate
Disputes shall be resolved through binding arbitration under American Arbitration Association rules, excluding intellectual property injunction claims.
Notice of Dispute
Disputes require written notice via email to info@sendhtml.email. Parties have 60 days for informal negotiation before arbitration.
Binding Arbitration
Users waive jury trial rights. The prevailing party’s legal costs are borne by the non-prevailing party.
Submissions and Privacy
User submissions automatically become non-confidential Company property usable perpetually without compensation, except as limited by our Privacy Policy for personal data. See also our Refund Policy.
Promotions
Contests may require submissions and have separate rules. Users must review applicable rules to determine eligibility.
Typographical Errors
Incorrect pricing allows SHIFT LLC to refuse or cancel orders. Credits are issued immediately if charges were already applied.
Miscellaneous
These Terms are controlled by Armenia law. Courts may enforce injunctive relief for breaches. The Company operates from Armenia offices.
Disclaimer
SHIFT LLC is not responsible for any content, code, or inaccuracies. Services are provided “as is” without warranties. SHIFT LLC exercises no editorial control over third-party content.
